TERMS OF SALE
(Updated: November 2025)

These Terms of Sale (“Terms”) govern purchases of CHACCU products (“Products”) placed on, or through links embedded in, our website and online storefront (the “Site”). The Site is operated by CHACCU, LLC, a New York limited liability company, 662 Driggs Avenue, Brooklyn, NY 11211 (“CHACCU,” “we,” “us,” or “our”). Orders are processed and shipped from our warehouse in New Jersey, USA. By placing an order, you agree to be bound by these Terms, our Terms of Use, Privacy Notice, and our Exchange Policy (collectively, the “Policies”). If you do not agree, do not place an order.

1. Scope; U.S.–Only Sales

We currently sell and ship only within the United States. We do not accept orders with delivery outside the U.S. We reserve the right to limit, refuse, or cancel orders placed from freight forwarders, reshippers, or addresses we reasonably suspect are intended for export or resale.

2. Eligibility; Account

To purchase, you must be 18 years or older and legally capable of entering a binding contract. You may check out as a guest or create an account. You are responsible for the accuracy of information supplied and for maintaining the confidentiality of any account credentials.

3. Ordering Process and Contract Formation

3.1 Placing an Order. Select Products, sizes, and colors, and complete checkout. Before submitting, review your order summary, applicable sales taxes, and shipping charges.
3.2 Acknowledgement. After submission, we will email an order acknowledgement (the “Order Receipt”). This confirms we received your order but does not constitute acceptance.
3.3 Acceptance. Your order is accepted only when we email a Shipping Confirmation containing tracking details. A contract between you and CHACCU for the Products listed in the Shipping Confirmation is formed at that time. We may accept an order in part (e.g., if certain items are unavailable).
3.4 Right to Refuse/Cancel. We may refuse or cancel any order (or portion) at our discretion, including for suspected fraud; inability to verify payment; inaccuracies or errors in Product, pricing, or availability information; or where we reasonably believe the order involves prohibited resale. If your order is cancelled after payment, we will issue a refund for the cancelled items to your original payment method.

4. Availability; Pre-Order; Errors

4.1 Availability. Display of a Product on the Site does not guarantee availability. We may change or discontinue Products at any time without notice.
4.2 Descriptions/Colors. We endeavor to present accurate descriptions and colors. Actual colors depend on your device; we do not warrant color accuracy.
4.3 Errors. If a Product is listed with an incorrect price or information due to typographical error or system issue, we may refuse or cancel orders placed for the Product, even if you have received an Order Receipt. If charged, we will promptly refund.

5. Prices; Taxes; Promotions

5.1 Pricing. Prices are shown in U.S. dollars and apply only to orders placed through the Site. We may change prices at any time; changes do not affect orders we have already accepted.
5.2 Sales Tax. We collect applicable U.S. sales/use tax based on the delivery address and current tax laws. You are responsible for any additional taxes or fees that may apply.
5.3 Shipping Charges. Shipping charges (if any) are disclosed at checkout and vary by delivery option and location.
5.4 Promotions. Promotions or offers are subject to their terms and may be modified or discontinued without notice. Unless noted, promotions cannot be combined.

6. Payment; Authorization; Security

6.1 Payment Methods. We accept major payment cards and digital wallets made available at checkout. Payments are processed by Stripe (and Stripe-supported wallets such as Apple Pay/Google Pay where available).
6.2 Authorization. By submitting an order, you authorize us (or Stripe) to charge your payment method for the total amount displayed at checkout. We may place a temporary authorization hold; the final charge typically occurs upon shipment.
6.3 Information Security. Card data is transmitted directly to Stripe; we do not store full card numbers. Your use of Stripe is subject to Stripe’s terms and privacy policy.
6.4 Verification. We may request additional information to verify identity or payment. If verification fails or is not provided, we may cancel the order.

7. Shipping; Delivery; Risk of Loss; Title

7.1 Carriers. Domestic shipments are fulfilled via reputable carriers such as FedEx or UPS (carrier selected at our discretion).
7.2 Delivery Area & Address Requirements. We ship to valid street addresses within the U.S. We generally do not ship to P.O. Boxes, APO/FPO/DPO, hotels, or freight forwarders. Orders to such addresses may be cancelled.
7.3 Processing Times. Typical processing is 1–3 business days, subject to payment verification and availability. High-volume periods or severe weather may extend timelines. Any delivery date shown is an estimate only.
7.4 Signatures. We may require an adult signature at delivery for higher-value shipments. If a signature is waived or an alternative delivery instruction is given to the carrier, you assume the associated risk.
7.5 Risk of Loss; Title. Title and risk of loss pass to you upon our delivery to the carrier at our New Jersey facility. Please promptly inspect shipments and refuse packages that appear damaged; note any visible damage with the carrier at delivery.
7.6 Tracking. A tracking link is provided in the Shipping Confirmation. It is your responsibility to monitor and retrieve deliveries.

8. Exchange-Only Policy; Final Sale; Conditions

8.1 No Returns; Size Exchange Only. As stated in our Exchange Policy, we do not accept returns. We offer exchanges for size of the same style/color, subject to stock, if you contact us within 10 days of receipt.
8.2 Condition of Goods. To be eligible, items must be unworn, unused, unaltered, with all tags attached and returned with the original packaging including the CHACCU garment cover and accessories (if any). Items with wear, damage, odors, missing tags, or signs of alteration are ineligible.
8.3 Process. To request an exchange, contact clientservice@chaccu.com with your order number within 10 days of delivery to obtain instructions. Items sent back without prior authorization may be refused.
8.4 Final Sale Items. Gift cards and any items marked “Final Sale” are not eligible for exchange.
8.5 Incorrect Item Shipped. If you received an item different from what appears on your Shipping Confirmation, notify us within 10 days of delivery; we will arrange a remedy.

9. Defects; Limited Remedies

9.1 Inspection. Please inspect Products upon delivery. If you believe an item has a manufacturing defect, contact us promptly at clientservice@chaccu.com with photos and your order number.
9.2 Assessment & Remedy. At our reasonable discretion and consistent with applicable law, our remedies for confirmed manufacturing defects are: repair, replacement (same item/size where available), or refund of the purchase price (excluding normal wear, misuse, accidents, alterations, improper care, or damage occurring after delivery).
9.3 Care Compliance. Luxury natural-fiber garments require careful handling. Defects arising from failure to follow Care Instructions (e.g., improper cleaning, storage, or wear) are not covered.

10. Resale Prohibited

Purchases are for personal, non-commercial use only. We reserve the right to reject or cancel orders we suspect are intended for resale, rental, or export.

11. Gift Orders

If you purchase a Product as a gift for delivery to a third party, you represent you are authorized to provide the recipient’s delivery details. We may communicate with you or the recipient regarding delivery.

12. Force Majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, weather, fire, flood, explosion, war, terrorism, civil unrest, labor disputes, embargoes, carrier or supplier failures, power outages, or governmental actions.

13. Disclaimers; Limitation of Liability

13.1 AS-IS. EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS OR REQUIRED BY LAW, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHACCU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR PURCHASE OR USE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.3 Cap. IN NO EVENT SHALL OUR AGGREGATE LIABILITY RELATING TO A PURCHASE EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) AT ISSUE.
13.4 Certain Rights. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION/LIMITATION OF CERTAIN DAMAGES; THESE LIMITATIONS MAY NOT APPLY TO YOU.

14. Privacy

Your purchase is subject to our Privacy Notice. Payment processing is provided by Stripe under its terms and privacy policy.

15. Governing Law; Venue

These Terms and any dispute arising from your purchase are governed by the laws of the State of New York, without regard to conflict-of-law rules. You agree that the state and federal courts located in Kings County, New York have exclusive jurisdiction and venue, and you consent to personal jurisdiction there.

17. Miscellaneous

17.1 Severability. If any provision is unlawful or unenforceable, the remaining provisions remain in full force.
17.2 No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
17.3 Assignment. We may assign or transfer our rights and obligations under these Terms. You may not assign without our prior written consent.
17.4 Entire Agreement. These Terms, together with the Policies referenced herein, constitute the entire agreement regarding your purchase and supersede prior or contemporaneous communications on that subject.
